Jessica Romanies is a seasoned transaction and litigation attorney, who has both been a private practice litigator and in-house transactional attorney over her nearly 15-year career.
As part of her practice at RumbergerKirk, Jessica serves as external general / in-house counsel to a variety of companies ranging from early-stage startups to established enterprises. With a practical, solutions-oriented approach, she uses her many years of in-house experience at a large consumer packaged goods company, to effectively advise clients on a wide range of legal and strategic matters, including corporate governance, company policies and processes, regulatory compliance, risk management, and day-to-day business operations. She delivers responsive, business-minded legal counsel that balances risk with opportunity, and assists a variety of clients navigate legal complexities, mitigate risk, and make informed decisions that aim to drive long-term growth. She can assist clients on one-off projects as well as being a dedicated outside member of a client’s team handling their needs as they arise.
A core strength of Jessica’s practice is the drafting, review, and negotiation of commercial and vendor contracts alongside companies’ in-house legal departments and/or their business leads. She routinely works with clients to structure and negotiate a variety of business agreements, including a wide variety of vendor/supplier agreements, including SaaS and technology contracts, manufacturing and distribution contracts, shared services agreements, professional services contracts, commercial goods and services contracts, NDAs, consulting contracts, and other forms of master service agreements (MSAs). Known for a sharp eye for detail and strong negotiation skills, she helps clients secure favorable terms while maintaining collaborative business relationships and meeting the business’s needs and timelines.
In addition to her external general counsel / in-house counsel practice, Jessica uses her many years of experience of litigating and managing litigation in a wide variety of matters to provide comprehensive litigation oversight and risk management services to her clients. She works closely with the client’s in-house and external litigation counsel to manage disputes efficiently and strategically—whether involving commercial claims, contract disputes, negligence and other tort matters, product liability, or other areas of exposure. She coordinates case strategy, monitors legal spend, and ensures alignment between litigation strategies and business objectives.
By serving as a central point of contact, Jessica enables clients to stay focused on operations and the company’s high-level needs, while maintaining confidence that legal risks and tasks are being actively completed and managed.
